Eneti Inc. Investigation

We are investigating possible breaches of fiduciary duty and other violations of law by the board of directors of Eneti Inc. (“Eneti” or the “Company”) (NYSE: NETI) in connection with its acquisition by Cadeler A/S (“Cadeler”).  Under the terms of the merger agreement, the Company’s shareholders will receive 3.409 shares of Cadeler common stock for each share of Eneti common stock owned, representing implied per-share consideration of $160.70 based upon Cadeler’s June 16, 2023 closing price of $47.14.  Upon completion of the transaction, Cadeler shareholders will own 60% of the combined company, while Eneti shareholders will only own 40%.
